TERMS OF SERVICE

1. Usage of Pool

1.1 The Pool Platform (including any mobile-based applications, websites, and web applications) is provided by The Pool Ventures Ltd, either directly or through its affiliates, including but not limited to The Pool Ventures Ltd. The Pool Platform allows any individual with a verified account to post jobs ("Business") on the Pool Platform, as well as access and participate in the services provided by Pool. By using the Pool Platform, you agree to these Terms of Service, in addition to our Privacy Policy

1.2 A Business accessing the Pool Platform is bound by these Terms of Service, as well as all other rules, regulations, and terms of use referred to herein or provided by Pool in relation to any services offered via the Pool Platform ("Pool Services").

1.3 Pool reserves the right to modify these Terms of Service, rules, regulations, and terms of use referred to herein or provided by Pool in relation to any Pool Services at any time. Such modifications will be posted on the Pool Platform. By using Pool, you accept these modified Terms of Service and related documents as may be amended from time to time. Pool may also notify Businesss of changes through email or notifications in Business accounts. Businesss have the option to indicate non-acceptance of the modified terms, but if no action is taken within the specified timeframe, Businesss will be deemed to have accepted the modifications.

1.4 Certain Pool Services may be subject to additional rules and regulations. In case of inconsistency between these Terms of Service and additional conditions, the additional conditions shall prevail. Pool, at its discretion, may:

• Restrict, suspend, or terminate any Business's access to all or part of the Pool Platform or Pool Services.
• Change, suspend, or discontinue all or part of the Pool Platform or Pool Services.
• Reject, move, or remove any material submitted by a Business.
• Move or remove any content available on the Pool Platform.
• Deactivate or delete a Business's account and related information and files.
• Establish general practices and limits regarding Pool Platform use.
• Assign its rights and liabilities to all Business accounts to any entity (with prior intimation to all Businesss).

1.5 If a Business breaches these Terms of Service or uses the Pool Platform or Pool Services illegally or improperly, Pool may, at its sole discretion and without notice, restrict, suspend, or terminate access, deactivate or delete the Business's account, delete Business content, and take necessary technical and legal steps.

1.6 If the Pool charges Businesss a platform fee and suspends or removes their account or Pool Services due to Pool's negligence or deficiency, Pool shall promptly refund the platform fee. However, no refund will be provided if suspension or removal results from a Business's breach of these Terms of Service or circumstances beyond Pool's control.

By accepting these Terms of Service, Businesss consent to receiving communications, including announcements, administrative messages, and advertisements from Pool, its partners, licensors, or associates.

2. Participation

2.1 When using the Pool Platform and Pool Services, Businesss can post jobs to source and ultimately should they deem appropriate to hire potential candidates and employees for their organizations. They can also browse and view profiles of suitable candidates via ‘pools’ and schedule interviews with potential candidates/employees.

2.2 To post a job, Businesss must provide job details such as job role, part-time or full-time status, workdays, work timings, salary range, number of openings, minimum education level, and required experience. While Pool does not tolerate gender discrimination, Businesss can specify if a job is gender-specific. Businesss must ensure all job information is accurate, non-misleading, and free from discriminatory practices. Incorrect information may result in job removal or account suspension.

2.3 Job applications by candidates remain active for 60 days from the application date, after which they are archived. Businesss lose access to Archived Job Applications after 60 days. Candidates can reapply to active job posts after the initial 60-day period.

 

Businesss must adhere to the Code of Conduct when posting jobs and using Pool Services.

3. Intellectual Property

3.1 All intellectual property rights ("Intellectual Property Rights") in the software underlying the Pool Platform and Pool Services, as well as material published on the Pool Platform (including software, advertisements, content, photographs, graphics, logos, audio or video, animations, etc.), are owned by Pool, its affiliates, partners, licensors, and associates. Businesss may not modify, publish, transmit, create derivative works, distribute, publicly perform, display, or exploit Pool materials without written permission from Pool.

3.2 Businesss are solely responsible for all materials they upload, post, email, transmit, or make available on the Pool Platform ("Businesss' Content"). Businesss represent that they own all Intellectual Property Rights in their content and that it does not infringe third-party rights. Businesss agree not to use third-party names, logos, marks, labels, trademarks, copyrights, or intellectual rights on the Pool Platform without written authorization. Businesss indemnify Pool and its directors, employees, affiliates, and assigns against third-party claims, including Intellectual Property Rights infringement, arising from such use.

3.3 Businesss grant Pool and its affiliates, partners, licensors, and associates a worldwide, irrevocable, royalty-free, non-exclusive, sub-licensable license to use, reproduce, create derivative works, distribute, publicly perform, display, transfer, transmit, and publish Businesss' Content for purposes such as displaying on Pool, distributing to potential candidates, and storing in a remote database.

3.4 All Intellectual Property Rights of any person, entity, or third party on the Pool Platform are recognized as proprietary to the respective owners, and disputes must be directly addressed to them with notice to Pool.

4. Third Party Sites, Services, and Products

4.1 The Pool Platform may contain links to third-party sites or applications. Businesss' use of these sites is subject to their conditions. Pool does not control third-party sites or applications and is not responsible for their content. Inclusion of third-party content or links does not imply Pool's endorsement.

4.2 Businesss' interactions with third parties (e.g., candidates, payment providers) are solely between Businesss and those parties. Transactions and usage of third-party services are subject to third-party terms and conditions. Pool is not liable for any loss or damage incurred in such transactions. Queries or complaints about third-party products or services should be directed to the respective vendor.

4.3 Pool Platform content may include material created by Pool and third parties. Pool does not guarantee accuracy or quality of third-party content and it cannot be relied upon for Pool Services.

5. Privacy Policy

5.1 All information collected from Businesss is subject to Pool's Privacy Policy, available at Privacy Policy. Personal information is not shared with other entities without permission. Businesss using shared personal information are responsible for securing it. Misuse may result in account deletion and future access blockage.

5.2 Businesss must not disclose or transfer shared personal information to sub-processors without ensuring equivalent safeguards. Use of shared information is restricted to Service purposes, not personal or other business activities. Misuse may result in immediate account deletion and access blockage.

6. Business Conduct

Businesss agree to adhere to these Terms of Service and all other rules, regulations, and terms of use of the Pool Platform. Failure to comply with these terms may result in actions taken by Pool at its sole discretion, including but not limited to: 

• Restricting, suspending, or terminating a Business's access to all or part of Pool Services.

• Deactivating or deleting a Business's account, with any remaining account balance transferred to the Business's registered bank account, subject to applicable processing fees as outlined herein.

• Businesss must provide accurate, current, and complete information during registration and when posting jobs on the Pool Platform. It is the Business's responsibility to keep this information up to date.

• Businesss shall not register or operate more than one account on the Pool Platform.

• Businesss must ensure they can receive communication from Pool by not marking Pool emails or SMS as spam or junk.

• Businesss must keep their account passwords confidential and not share them. Any unauthorized use of passwords is prohibited. Businesss are responsible for the security of their accounts and must notify Pool immediately of any unauthorized account access.

• Businesss must log out of their accounts at the end of each session to prevent unauthorized access.

• Businesss must not use cheats, exploits, automation, software, bots, hacks, or unauthorized third-party software that could modify or interfere with Pool Services.

• Businesss must not copy, modify, rent, lease, sell, assign, distribute, reverse engineer, or transfer any rights to the technology or software underlying Pool or Pool Services.

• Businesss must not modify or cause the modification of any files or software on the Pool Platform without express written consent from Pool.

• Businesss must not disrupt, overburden, or assist in disrupting or overburdening Pool servers, or the enjoyment of Pool Services by other Businesss.

• Businesss must not engage in any type of attack, such as distributing viruses or initiating denial of service attacks, against Pool Services or other users.

• Businesss must not attempt to gain unauthorized access to Business accounts, Servers, or networks connected to Pool Services.

• Businesss must not publish false and misleading content with the intent to deceive or harm others for financial gain or to cause harm.

 

Businesss must not engage in any of the following activities:

• Engaging in obscene, offensive, indecent, racial, communal, anti-national, defamatory, or abusive actions or communication.
• Harassing, stalking, threatening, or violating the legal rights of others.
• Transmitting inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful content.
• Transmitting files containing viruses, corrupted files, or software that may damage or affect others' computers.
• Advertising, selling, or promoting goods or services for commercial purposes on Pool without written consent from Pool.
• Downloading files, recompiling, or disassembling Pool products illegally.
• Falsifying or deleting author attributions, legal notices, or proprietary designations.
• Restricting or inhibiting other Businesss from using public areas within Pool.
• Collecting or storing personal information about other Businesss or potential candidates.
• Collecting or storing information about potential candidates with the aim of creating a database for commercial purposes or personal use.
• Interfering with or disrupting Pool and/or the Pool Platform, Pool servers, or Pool networks.
• Impersonating any person or entity, including a representative of Pool.
• Forging headers or manipulating identifiers to disguise the origin of any content.
• Taking actions that impose an unreasonably large load on Pool's infrastructure.
• Engaging in illegal activities.
• Engaging in actions that threaten the unity, integrity, defense, security, sovereignty of Nigeria, friendly relations with foreign States, or public order, or incite the commission of any cognizable offense or insult other nations.

6.2 If a Business selects a username that, in Pool's opinion, is obscene, indecent, abusive, or may harm Pool's reputation, Pool reserves the right to restrict usage, change the username, delete posts, deny access, or take any combination of these actions without prior notice.

6.3 Unauthorized access to the Pool Platform is prohibited and a violation of these Terms of Service and the law. Businesss agree to access the Pool Platform only through the provided interface and not use automated means, such as agents, robots, scripts, or spiders, unless approved by Pool in writing. 

6.4 Use of the Pool Platform must comply with existing laws and legal processes. Pool retains the right to cooperate with government, court, and law enforcement requests related to Businesss' use of Pool.

6.5 The Pool Platform is open only to individuals aged 18 and above, currently residing in Nigeria, and possessing a valid email address and/or mobile phone number. Pool may bar a person from accessing their Pool account for violations of these Terms of Service or the Code of Conduct. Only registered Businesss are eligible to post jobs on the Pool Platform.

 

7. Eligibility

The Employers' Portal of The Pool Platform is exclusively open to the following:

• Only businesses registered Businesses are eligible to list on The Pool Platform.

• Documentation Requirements: Businesses must provide valid company registration documentation and possess either a valid email address and/or mobile phone number to participate on The Pool Platform. 

• Pool reserves the right to deny access to its Platform to any individual or business entity found to be in violation of these Terms of Service.

8. Dispute Resolution

In the event of any dispute arising out of or in connection with these terms of use, the parties shall use their best efforts to settle the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation, either party may choose to submit the dispute to mediation or arbitration.

• Mediation:The parties shall attempt to resolve any dispute through mediation conducted by a mediator chosen by mutual agreement. If the parties are unable to agree on a mediator, each party shall select one mediator and the two mediators shall jointly select a third mediator. The mediation shall take place in a mutually agreeable location.

• Arbitration:If the dispute cannot be resolved through mediation, the parties shall submit the dispute to binding arbitration in accordance with the rules in the Federal Republic of Nigeria. The arbitration shall take place in a mutually agreeable location. The decision of the arbitrator shall be final and binding on both parties.

Notwithstanding the foregoing, either party may seek injunctive relief from a court of competent jurisdiction in the event of any actual or threatened breach of intellectual property rights, confidentiality obligations or other proprietary rights.

 This dispute resolution clause shall be governed by and construed in accordance with the laws of the state of Lagos Nigeria.

 

9. Release and Limitations of Liability

9.1 Businesss use the Pool Platform voluntarily and at their own risk. Pool is not responsible for any loss or damage incurred by Businesss or other individuals while using the Pool Platform.

9.2 By using the Pool Platform, Businesss release and indemnify Pool, its directors, employees, partners, associates, and licensors from liability for any injuries, accidents, or losses, whether direct, indirect, or consequential, arising from their use of Pool Services.

9.3 Pool is not liable for errors or omissions in data/information published on the Pool Platform.

9.4 Businesss are solely responsible for any consequences resulting from illegal actions or non-compliance with these Terms of Service, including providing incorrect personal details. Businesss indemnify Pool, its directors, employees, agents, and affiliates for losses arising from such actions.

9.5 Businesss shall indemnify and hold Pool harmless from third-party claims related to their use of the Pool Platform.

9.6 The maximum extent permitted by law, Businesss waive and release all claims against Pool, its agents, directors, employees, partners, associates, sponsors, and representatives for injuries, accidents, or mishaps arising from their use of Pool Services.

10. Disclaimers

To the extent permitted by law, Pool, its parent/holding company, subsidiaries, affiliates, directors, officers, professional advisors, and employees shall not be responsible for the deletion, failure to store, mis-delivery, or untimely delivery of any information or material.

10.1 Pool shall not be responsible for any harm resulting from downloading or accessing any information or material, the quality of servers, products, or Pool Services.

10.2 Any material accessed, downloaded, or obtained through the Pool Platform is done at the Business's discretion and risk. Businesss will be solely responsible for any potential damage to their computer system or loss of data resulting from the download of such material.

10.3 Pool makes best endeavors to ensure that the Pool Platform is error-free and secure; however, neither Pool nor any of its partners, licensors, or associates makes any warranty that:

• The Pool Platform will meet Businesss' requirements.
• The Pool Platform will be uninterrupted, timely, secure, or error-free.
• The results obtained from the use of the Pool Platform will be accurate or reliable.
• The quality of any products, Pool Services, information, or other material obtained through the Pool Platform will meet Businesss' expectations.
• In the event of the discovery of any error, Pool reserves the right to rectify the error in a manner it deems fit, including through a set-off of the erroneous payment from amounts due to the Business or deduction from the Business's account of the amount of the erroneous payment.

 

10.4 To the extent permitted by law, neither Pool nor its partners, licensors, or associates shall be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use of or inability to use the Pool Platform, even if advised of the possibility of such damages.

10.5 Pool reserves the right to cancel or terminate any Pool Services that require specific permission or authority from any statutory authority, state or central government, or board of directors if such permission or authority is either not obtained or denied either before or after the availability of the relevant Pool Services.

In the event of the suspension or closure of any Pool Services, Businesss shall not be entitled to make any demands or claims of any nature whatsoever.

11. Grievance Redressal Mechanism

In case a Business has any complaints or grievances pertaining to:

• Content that violates these Terms (other than an infringement of Intellectual Property Rights).
• Businesss’ access to the Pool Platform.
• Any Content which a Business believes is obscene, defamatory, or in the nature of impersonation in an electronic form.

11. 1 Businesss can share their complaints or grievances by writing to:@Pool.co.

The complaint or grievance should include specific information as outlined in the Terms.

11.2 Pool respects Intellectual Property Rights and requests Businesss to send notice of any act of infringement on the Pool Platform. The notice should include specific information as outlined in the Terms and be sent to the same email address.

11.3 Upon receiving such complaints, grievances, or notices, Pool will investigate and take appropriate action as deemed fit.

12. Paid Services

When you subscribe to our paid Services, you agree to adhere to the additional terms specific to the Services ("Paid Services") provided by Pool. Your access to the Pool Platform, your ability to post jobs, and access candidate profiles shall be determined by the specific Paid Services you avail of.

 

12.1 Service Changes and Discontinuation 

Pool reserves the right to modify the nature and delivery of Paid Services at any time without incurring liability. We also retain the right to suspend or permanently discontinue any Paid Services, or parts thereof, without prior notice or liability to Pool. By accepting these Terms and Conditions, you waive the right to claim compensation for Paid Services after their suspension or discontinuation.

 

12.2 Refunds

Refunds for non-provision of Paid Services will be determined at Pool's sole discretion and will be made pro-rata to your usage of Paid Services. No refunds will be issued for the full amount paid for the Paid Services.

 

12.3 Types of Paid Services

While signing up on our platform is entirely free, we offer additional paid services to enhance your experience. Individuals and businesses can take advantage of these premium features to boost their profile or submit unique video applications for job postings. In addition to our free offerings, we provide flexible payment options, including one-time payments and subscription plans for businesses. Registered companies can also list job postings for a nominal fee. These paid services are designed to offer added value and convenience, empowering our users to make the most of their presence on our platform.

 

12.3.1 Job Posts

• You'll pay a specified fee for each job post you publish on the Pool Platform.
• The job post's validity and the number of candidate applications you can receive will depend on the fee paid.
• Pool reserves the right to adjust job post validity and the number of applications allowed.

 

12.3.2 Database Views

• You can access candidates' profiles by paying a specified fee.
• The number of Database Views depends on the fee paid, and Pool may adjust these limits.
• Periodic Subscriptions
• By purchasing a subscription ("Subscription Plan"), you gain access to specified job posts and/or Database Views.
• The Subscription Plan determines the length of access ("Subscription Validity") and the number of job posts and views included.
• If you exhaust the included job posts or views during the Subscription Validity, you may need to purchase additional access.

Fair Usage

Regardless of your Subscription Plan, Pool reserves the right to limit job posts and Database Views to protect data and maintain platform efficiency. We may reduce the visibility of job posts or limit responses if deemed necessary.

Third-Party Partnerships

Pool may collaborate with third parties to enhance Paid Services. Such collaborations may involve accessing external databases or related services. We provide no warranty or representation for third-party services and assume no liability for them.

 

User Responsibilies

You are solely responsible for verifying and authenticating information received through Paid Services. Pool is not liable for the accuracy of received data.

 

Service Activation

Paid Services commence upon receipt of payment for the Subscription Plan, either directly or through an authorized third party.

 

Job Post Requirements

You may be required to confirm that your job posts are for genuine positions and that you won't demand financial commitments or in-kind payments from applicants.

 

Transferability and Copyright

Your Subscription Plan is non-transferable and non-resalable. You do not hold copyright or intellectual property rights over data uploaded via job posts.

 

Dispute Resolution

Any disputes related to Paid Services and Subscription Plans will be resolved according to applicable Nigerian laws.

 

Account Types 

• Individual Access: You can create an individual account, purchase a Subscription Plan for personal use.
• Organizational Access: To enable employees, agents, or representatives to use Paid Services, you can create an Enterprise Account. Designated Users can create individual accounts to access Services on your behalf.
• Enterprise Account

Upon purchasing a Subscription Plan, Pool credits the Enterprise Account with the specified number of credits related to your Subscription Plan. Credit requirements for job posts and Database Views may change over time, and differential credit requirements may apply to different types of job posts and views.

 

Pool App Usage

Designated Users may need to download the Pool mobile application ("Pool App") to access Services via the app. Personal data entry and mobile number verification may be required during registration, and you must ensure accuracy.

 

Confidentiality

Pool guarantees the confidentiality of personal data entered by Authorized Users.

 

User Suspension or Ban

Certain Designated Users may face suspension or banning from the Pool Platform due to violations of Pool's Terms and Conditions and Privacy Policy. Pool bears no responsibility for such actions.
